Client Agreement

Effective: November 2025 1. Purpose This Client Agreement (“Agreement”) is made between Mia’s Minis, LLC (“Company”) and the undersigned client (“Client”) to outline the terms and conditions for using Mia’s Minis childcare coordination and referral services. By booking or using our services, the Client agrees to the terms below. 2. Bookings and Payments All childcare bookings must be arranged and paid through Mia’s Minis. Clients shall not make direct or private payment arrangements with any sitter introduced by the Company. All scheduling, communication, and payments must occur through Mia’s Minis systems or approved representatives. Refunds and cancellations are governed by our separate Refund and Cancellation Policy available on our website. 3. Safety and Conduct The Client agrees to provide a safe, clean, and appropriate environment for childcare. The Client must disclose all relevant information, including but not limited to: children’s allergies, medical needs, behavioral notes, and household safety concerns (e.g., pets, hazards). Sitters must be treated with respect and professionalism at all times. 4. Respect and Privacy for Sitters Clients agree to protect the reasonable privacy and safety of all Mia’s Minis sitters. The Client shall not: Share, post, or publish any photos, videos, or identifying information of sitters on social media or any public platform without prior written consent from both the sitter and Mia’s Minis. Disclose sitter contact information, last names, or personal details to third parties without consent. Use sitter information for any purpose outside of Mia’s Minis childcare services. Any breach of sitter privacy may result in termination of Client access to services and potential legal action. 5. Non-Solicitation A separate Non-Solicitation Agreement governs relationships between families and sitters. All parties agree to comply with those terms as a condition of using Mia’s Minis services. 6. Independent Contractor Disclaimer All sitters referred by Mia’s Minis are independent contractors, not employees or agents of the Company. Mia’s Minis acts solely as an intermediary connecting families with independent childcare providers. 7. Liability Disclaimer Mia’s Minis is not responsible for the actions, conduct, or performance of independent contractors. Clients assume full responsibility for all childcare arrangements, supervision, and outcomes once a sitter is matched and services begin. To the fullest extent permitted by law, Mia’s Minis shall not be liable for any loss, damage, injury, or claim arising from use of its services. 8. Confidentiality All client and sitter information shared through Mia’s Minis is confidential. The Client agrees not to disclose, distribute, or share contact details, profiles, or any other private information of sitters or the Company. 9. Refund and Cancellation Policy Refunds and cancellations are governed by the separate Refund and Cancellation Policy available on our website. 10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

Non-Solicitation Policy

Effective: November 2025 1. Purpose The Company provides childcare matching services and has invested time, money, and reputation to attract families and place qualified sitters. The purpose of this Agreement is to protect that client relationship and prevent end-runs around the Company. 2. Definitions “Client” means any family, parent/guardian, or household that was introduced to Worker by the Company, or whose information Worker obtained through the Company’s systems, communications, or assignments. “Services” means childcare, babysitting, transportation, tutoring, overnights, or any related services typically offered by the Company. 3. Non-Solicitation of Clients Worker agrees that during their engagement with the Company and for twelve (12) months after it ends, they will not directly or indirectly solicit, accept, or provide services to any Client outside of the Company, nor recommend another sitter to that Client to bypass the Company. 4. Non-Circumvention Worker shall not, directly or indirectly, attempt to circumvent, avoid, bypass, or interfere with the Company’s relationship with any Client for the purpose of providing services, receiving payment, or introducing another provider to that Client. 5. Required Booking Channel All Services for Company Clients must be booked, approved, and paid through Mia’s Minis. Worker will immediately inform the Company if a Client contacts them directly to book outside the Company. 6. No Use of Client Information Worker will not use, disclose, copy, or keep any Client names, phone numbers, emails, addresses, or other information for personal use or to compete with the Company. 7. Reasonableness Worker acknowledges that these restrictions are limited in time (12 months) and apply only to. Clients they met through the Company. The Company has a legitimate business interest in protecting its Client relationships and this clause does not restrict Worker’s general employment as a babysitter elsewhere. 8. Remedies A breach would cause harm that’s hard to measure. The Company may seek injunctive relief and damages, including lost revenue and a $250 administrative fee per violation, where permitted by law. 9. Client Poaching by Mutual Agreement If a Client wishes to hire the Worker privately, both must notify the Company. The Company may release them from this Agreement upon payment of a conversion fee. 10. Independent Contractor / Employee Status This Agreement applies whether the Worker is classified as an employee or independent contractor. 11. Governing Law and Venue This Agreement shall be governed by the laws of the Commonwealth of Virginia. 12. Entire Agreement This clause supplements any other agreement between the parties.

Sitter Screening Standards

How We Carefully Vet Our Sitters At Mia’s Minis, your child’s safety is our highest priority. We understand that inviting someone into your home requires real trust. That’s why we have built a thorough, multi-step vetting process to ensure every sitter meets our standards of safety, professionalism, and compassion. We do not accept sitters lightly. Every caregiver must successfully complete the following screening process before being approved to work with families. 1. Personal Interview with Mia Every sitter is personally interviewed by me, Mia, the founder of Mia’s Minis. - During this interview, I assess: - Communication skills and professionalism - Child engagement style and activity planning - Approach to discipline and conflict resolution - Safety awareness and emergency readiness - Overall reliability and character Only sitters I would confidently trust in my own home move forward in our process. 2. Comprehensive Background Screening All sitters must pass a professional background check prior to approval. Our screening includes: - National DOJ Sex Offender Registry search - Excluded Parties / Terrorist Watchlist search - National Criminal Database search - County court records review Any findings related to violence, abuse, theft, child endangerment, or serious offenses result in immediate disqualification. Safety is not optional — it is foundational. 3. 5-Panel Drug Test Every approved sitter completes a 5-panel drug screening conducted through a certified laboratory. Refusal to test or a positive result results in disqualification from our network. This ensures that all caregivers representing Mia’s Minis are safe, alert, and fully capable of providing attentive care. 4. CPR & First Aid Certification Verification All sitters must maintain current CPR and First Aid certification. We verify credentials before approval. Preparedness matters. While emergencies are rare, readiness is essential. 5. Reference Verification We personally verify references to confirm: - Reliability and punctuality - Childcare experience - Professional conduct - Trustworthiness We look for consistent patterns of responsibility and positive feedback. 6. Policy & Professional Standards Agreement Before being matched with families, sitters: - Complete onboarding and orientation - Agree to strict confidentiality standards - Sign our Non-Solicitation Agreement - Commit to professional conduct expectations - Agree to phone-free, engaged childcare practices We hold our sitters to high standards — because families deserve nothing less. Our Approach to Feedback Mia’s Minis values open, honest feedback. We encourage families to share both positive experiences and constructive suggestions to help us improve our matches and services. After each booking, families may be invited to complete a short satisfaction survey or share comments directly with our team. Your feedback helps us recognize outstanding sitters, identify opportunities for improvement, and continue building a community of care and trust. 5. Our Commitment to Partnership We believe that reliable childcare works best when families and sitters support each other. By maintaining respect, communication, and kindness on both sides, we create the consistency children need to thrive.

Transportation and Driving Policy

Effective: November 2025 1. Purpose This policy ensures the safety of children, families, and sitters when transportation is involved during any childcare assignment arranged by Mia’s Minis, LLC (“Mia’s Minis”). It outlines the responsibilities, permissions, and insurance requirements related to driving or vehicle use. 2. Transportation Overview Transportation may occur in two forms: a sitter using their own personal vehicle, or a sitter using a family’s vehicle at the family’s request. All transportation must be conducted with the express permission of both the family and Mia’s Minis. 3. Sitter Driving Their Own Vehicle If a sitter uses their personal vehicle to transport children, the sitter’s personal auto insurance provides primary coverage in the event of an accident. Sitters are required to maintain a valid driver’s license, personal auto insurance that includes business use coverage, and a safe, registered, and regularly maintained vehicle. Sitters must obey all traffic laws and ensure all passengers are properly secured in age-appropriate car seats or restraints provided by the family. Sitters may not transport children unless expressly approved by the family and Mia’s Minis. 4. Sitter Driving the Family’s Vehicle If a sitter drives a family’s vehicle at the family’s request, the family’s auto insurance provides primary coverage. Sitters must have prior written or verbal approval from both the family and Mia’s Minis before driving any client vehicle and must confirm that the family’s vehicle is properly insured and safe for use. 5. Business Liability Mia’s Minis carries General Liability Insurance with a Hired and Non-Owned Auto (HNOA) endorsement. This coverage protects the business against liability claims in the event a sitter is involved in an auto accident while working on a Mia’s Minis assignment. This coverage does not replace or override the sitter’s or family’s personal auto insurance and does not cover physical damage to vehicles or personal injuries directly. 6. Prohibited Activities Sitters are strictly prohibited from transporting children without express consent, using a vehicle that is uninsured, unregistered, or unsafe, texting or using a phone while driving, allowing unauthorized passengers, or consuming alcohol, drugs, or any impairing substances before or during transportation. 7. Reporting Requirements If a sitter is involved in an accident or traffic incident while working, they must: (1) Contact emergency services (911) if anyone is injured. (2) Notify the family immediately. (3) Contact Mia’s Minis at (571) 239-4541 as soon as possible, no matter the severity. (4) Provide a written summary of the incident within 24 hours. 8. Acknowledgment By signing below, the sitter acknowledges that they have read, understand, and agree to comply with this Transportation & Driving Policy. All sitters have a signed copy on file.

Refund and Cancelation Policy

Effective: November 2025 1. Purpose This policy outlines how cancellations, schedule changes, refunds, and payments are handled for childcare services arranged through Mia’s Minis, LLC (“Mia’s Minis”). Our goal is to ensure fairness, reliability, and respect for both families and sitters. This policy applies differently to: - One-Time / Occasional Bookings - Ongoing Weekly Recurring Care Please review the section that applies to your booking type. PART I: One-Time / Occasional Bookings 2. Payment Terms – Occasional Bookings For all one-time or occasional bookings: - Full payment is required before the booking is considered confirmed. - Bookings are not secured until payment has been received. - Mia’s Minis reserves the right to release unconfirmed bookings. 3. Client Cancellations – Occasional Care More than 24 hours before scheduled start time: - No cancellation fee applies. Less than 24 hours before scheduled start time: - 50% of the total booking fee will be charged. Less than 12 hours before scheduled start time: - 100% (full cost) of the booking fee will be charged. These fees compensate sitters for reserved time and lost opportunities. 4. No-Show Policy If a client fails to appear for a confirmed booking without notice, the full service fee will be charged. Repeated no-shows may result in suspension or termination of future booking privileges. 5. Sitter Cancellations – Occasional Care If a sitter cancels: Mia’s Minis will make every reasonable effort to provide a qualified replacement. If no replacement is available, clients will receive a full refund of prepaid fees. PART II: Ongoing Weekly / Recurring Bookings This section applies to families with consistent weekly care agreements. 6. Payment Terms – Weekly Recurring Care For recurring weekly care: - Invoices are sent every Sunday. - Payment is due by Tuesday at 11:59 PM of that week. - Failure to pay by the deadline will result in: - A 10% late fee added to the outstanding balance. Accounts with unpaid balances may result in suspension of services until payment is resolved. 7. Weekly Schedule Changes For recurring weekly bookings: - Any decrease in scheduled hours requires at least one (1) week written notice. If one week notice is not provided, the family remains financially responsible for the normally scheduled hours. - Increases in hours may be requested but are subject to sitter availability. 8. Termination of Weekly Care To cancel a recurring weekly contract: - A minimum of two (2) weeks written notice is required. If two weeks notice is not provided: - The family remains financially responsible for payment of the final two weeks of scheduled care. This policy ensures stability and fairness for sitters who reserve consistent time. 9. Emergencies & Exceptions Mia’s Minis understands that emergencies may occur. At management’s discretion, cancellation fees may be waived in verified emergency situations such as: - Serious illness - Weather emergencies - Family emergencies - Other documented unforeseen circumstances Fee waivers are not guaranteed and are evaluated case-by-case. 10. Refund Process Approved refunds will be issued to the original form of payment within 5–7 business days. Processing times may vary depending on the payment provider. 11. Disputes Any disputes regarding charges must be submitted in writing to: miasminisllc@gmail.com within 7 days of the service date for review. 12. Policy Updates Mia’s Minis reserves the right to revise this policy at any time. The most current version will be posted on www.miasminis.com with the updated effective date.

Intellectual Property All content on this website, including text, graphics, logos, and images, is the property of Mia’s Minis, LLC. Users may not copy, reproduce, distribute, or otherwise use any content without written permission. 8. Termination Mia’s Minis may suspend or terminate access to the website or services at any time, with or without cause, including for violations of these Terms. 9. At Mia’s Minis, we understand that families don’t just need consistent weekly care — sometimes you need reliable support for special occasions, busy days, or unexpected situations. Our one-time and occasional care services are designed to give families flexibility, peace of mind, and access to carefully vetted sitters when you need them most. When One-Time or Occasional Care May Be Helpful Our occasional care is perfect for: • Date nights • Weddings or special events • Work commitments or conferences • Appointments or errands • Sick days (when children cannot attend school/daycare) • Last-minute schedule changes • Travel or extended evenings • Holiday gatherings • Backup care when regular care falls through Whether planned weeks in advance or needed quickly, we aim to make the process smooth and dependable. How Sitter Selection Works Sitter selection for occasional care is based primarily on availability. Once your booking request is submitted: • A qualified sitter who is available for your requested date and time will be assigned. • All sitters are personally interviewed, background checked, and drug tested before being approved to work with families. We match based on availability, experience, and suitability for your family’s needs. How to Book One-Time / Occasional Care Booking is simple and fully managed through our platform. Step 1: Create an Account Create a parent account on our website and complete the booking form with detailed information about your care needs. Step 2: Submit a Booking Request Select your requested date, time, and care details. Once submitted, your booking request enters our approval process. Step 3: Sitter Assignment A sitter will be assigned based on availability and suitability. Once assigned, you will be able to communicate directly with the sitter to discuss details, expectations, routines, and any special instructions. Step 4: Approval Stage The booking must be approved by both: • The assigned sitter • Mia (Owner of Mia’s Minis) This ensures clarity and confirmation on all sides. Step 5: Payment Request After approval, payment will be requested. Payment must be made before the booking is considered confirmed. Bookings are not secured until payment is received. Step 6: Booking Confirmation Once payment is completed, your booking is officially confirmed. You will receive confirmation details and can feel confident your sitter is reserved for your date and time. Important: Changes to Bookings If any changes are made to: • Date • Time • Location • Number of children • Transportation needs The booking will return to the approval stage and must be re-approved before confirmation. This protects both families and sitters from miscommunication. Cancellations & Refunds All one-time and occasional bookings are subject to our official Refund & Cancellation Policy. Consistent Weekly Care

Whether you need a few weeks of support or a long-term arrangement, we are here to help. Short-Term & Long-Term Care Options We offer both: Short-Term Weekly Care Ideal for: • Parental leave transitions • Temporary work schedule changes • Medical recovery periods • School breaks • Seasonal or temporary coverage • Summer care Long-Term Weekly Care Perfect for: • Working parents needing consistent weekly support • After-school care • Full-day in-home childcare • Homeschool supplementation • Ongoing transportation needs • Families seeking stability and routine Consistency creates comfort and structure for children — and peace of mind for parents. Transportation Services Transportation services may be requested for consistent weekly care. This may include: • School pick-ups and drop-offs • Activity transportation • Sports practices • Lessons or extracurriculars All transportation services are governed by our official Transportation & Driving Policy, which outlines safety expectations and approval requirements. Transportation must be requested in advance and approved. Sitter Responsibilities Sitters providing consistent weekly care are primarily responsible for: • Active and attentive childcare • Maintaining daily routines • Supervising and engaging children • Supporting age-appropriate development • Providing a safe and nurturing environment Childcare-Related Household Tasks Sitters may assist with childcare-related tasks only. These include: • Children’s laundry • Preparing meals and snacks for children • Cleaning dishes used during care • Tidying play areas used during their shift • Organizing children’s belongings Sitters are not responsible for general household chores unrelated to the children, such as deep cleaning, family laundry, or heavy housework. Clear boundaries help maintain a respectful and professional relationship. Specialty Skills & Enrichment Services Some of our sitters offer additional skills such as: • Academic tutoring • Homework support • Music lessons • Language enrichment • Structured early learning activities • Creative arts instruction These enrichment services are optional and may require an additional fee. If your family is interested in specialty services, we are happy to discuss sitter qualifications, availability, and pricing. Paid Time Off (PTO) Some of our consistent weekly sitters earn Paid Time Off (PTO) through their ongoing work with Mia’s Minis. If a sitter has earned PTO: • PTO must be requested in advance. • PTO must be approved by the family before being scheduled. We encourage open communication and scheduling coordination between families and sitters. Backup Coverage If your assigned sitter is unavailable due to: • PTO • Illness • Emergencies • Personal circumstances Mia’s Minis will make every reasonable effort to provide a qualified backup sitter. However, backup care is never guaranteed. We strongly encourage families to maintain an emergency backup plan when possible. How Consistent Weekly Care Works - Create a Parent Account - Submit a detailed booking request outlining your weekly schedule and care needs. - Sitter Assignment - Sitters are matched based on availability, experience, and compatibility. - Approval & Confirmation - The booking must be approved by both the sitter and Mia. - Weekly Invoicing - invoices are sent every Sunday and due Tuesday by 11:59 PM. - Ongoing Communication - Families may communicate directly with their assigned sitter while Mia’s Minis remains available for oversight and support. Cancellation & Schedule Changes Consistent weekly care is subject to our Refund & Cancellation Policy, including: • One-week written notice required for reduction in scheduled hours • Two-week written notice required to terminate weekly care • Late payment fees for unpaid invoices We encourage families to review the full Refund & Cancellation Policy prior to booking.
