Mia’s Minis

Non-Solicitation & Non-Circumvention Agreement

​Effective: November 2025


1. Purpose
The Company provides childcare matching services and has invested time, money, and reputation to attract families and place qualified sitters. The purpose of this Agreement is to protect that client relationship and prevent end-runs around the Company.


2. Definitions
“Client” means any family, parent/guardian, or household that was introduced to Worker by the Company, or whose information Worker obtained through the Company’s systems, communications, or assignments. “Services” means childcare, babysitting, transportation, tutoring, overnights, or any related services typically offered by the Company.


3. Non-Solicitation of Clients
Worker agrees that during their engagement with the Company and for twelve (12) months after it ends, they will not directly or indirectly solicit, accept, or provide services to any Client outside of the Company, nor recommend another sitter to that Client to bypass the Company.


4. Non-Circumvention
Worker shall not, directly or indirectly, attempt to circumvent, avoid, bypass, or interfere with the Company’s relationship with any Client for the purpose of providing services, receiving payment, or introducing another provider to that Client.


5. Required Booking Channel
All Services for Company Clients must be booked, approved, and paid through Mia’s Minis. Worker will immediately inform the Company if a Client contacts them directly to book outside the Company.


6. No Use of Client Information
Worker will not use, disclose, copy, or keep any Client names, phone numbers, emails, addresses, or other information for personal use or to compete with the Company.


7. Reasonableness
Worker acknowledges that these restrictions are limited in time (12 months) and apply only to. Clients they met through the Company. The Company has a legitimate business interest in protecting its Client relationships and this clause does not restrict Worker’s general employment as a babysitter elsewhere.


8. Remedies
A breach would cause harm that’s hard to measure. The Company may seek injunctive relief and damages, including lost revenue and a $250 administrative fee per violation, where permitted by law.


9. Client Poaching by Mutual Agreement
If a Client wishes to hire the Worker privately, both must notify the Company. The Company may release them from this Agreement upon payment of a conversion fee.


10. Independent Contractor / Employee Status
This Agreement applies whether the Worker is classified as an employee or independent contractor.


11. Governing Law and Venue
This Agreement shall be governed by the laws of the Commonwealth of Virginia.


12. Entire Agreement
This clause supplements any other agreement between the parties.
